You fade by adding to keyframes. The first keyframe is where you want the fade to begin. It should have the opacity to be at 100%. The second keyframe should be at the end and the opacity should be at 0%. If you dont know keyframes, look at premieres help files, they tought me everything!

yeah as an easier way.. i have premiere 6.0 but it shouldnt be much different. just click the arrow to expand the video track, and make the little line gradually go down.. same with audio.
